Completion of the conditional sale and purchase agreement dated 27 December 2008 between the Company and ICH Invest & Trade Ltd. (the "Vender") wherupon 228,000,000 treasury shares (the "Consideration Shares") were issued by the Company to the Vendor's nominee, Neptune Worldwide Holdings Financial Limited ("Neptune"), at the Vendor's direction, as satisfaction of the consideration payable.

By virtue of Section 7 of the Companies Act (Chapter 50 of Singapore), Toe Teow Heng is deemed to have an interest in the Shares held by Neptune.
